By accepting this TOS or by accessing or using the Service or Site, you acknowledge that you have read, understood, and agree to be bound by this TOS. If you are entering into this TOS on behalf of a company, business or other legal entity, you represent that you have the authority to bind such entity and its affiliates to this TOS, in which case the terms "you" or "your" shall refer to such entity and its affiliates. If you do not have such authority, or if you do not agree with this TOS, you must not accept this TOS and may not use the Services or the Site.
For purposes of this TOS, the "Services" means (i) the Site, (ii) Verichem’s services and related technologies relating online data reduction and reporting, and (iii) all software that may be used in connection with the Services (the "Software"), data, reports, text, images, sounds, video and content made available through any of the foregoing (collectively referred to as the "Content"). Any new features added to or augmenting the Services are also subject to this TOS.
This TOS constitute the entire and only agreement between Verichem and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site, the Services and the Content. Please review the following TOS carefully, and check them periodically for changes. Verichem may change this TOS from time to time by providing 30 days’ prior notice either by emailing the email address associated with your account or by posting a notice on the Site. You can review the most current version of this TOS at any time at https://verichem-data-reduction.net/. The revised TOS will become effective 30 days after we post or send you notice of such changes, and if you use the Service after that date, your use will constitute acceptance of the revised terms and conditions. If any change to this TOS is not acceptable to you, your only remedy is to stop using the Services and send a cancellation email to customerservice@verichemlabs.com.
The Content, including without limitation, the content, organization, graphics, design, compilation, magnetic translation, digital conversion and other matters related to the Site, the Software and the Services are protected under applicable copyrights, trademarks, registered trademarks and other proprietary (including but not limited to intellectual property) rights. Verichem owns the copyright in the overall selection, coordination, arrangement and enhancement of any content on the Site, and owns the rights in, or license to use, the individual components of such content. Copying, redistribution, use or publication by you of any such matters or any part of the Content, the Software, the Services or the Site, except as expressly allowed by Section 5, is strictly prohibited. You do not acquire ownership rights to any Content or other materials viewed through the Site. The posting of information or materials on the Site does not constitute a waiver of any right in such Content.
You will use the Services for lawful purposes only. You will not post or transmit through the Services any information or material which violates or infringes, in any way, the rights of others, or which is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane, harassing or otherwise objectionable. Nor shall you post or transmit through the Services any information or material which encourages conduct that would constitute a criminal offense, give rise to liability or otherwise violate any law or administrative ruling or guidelines, is in violation of this TOS, or which, without our prior written approval, contain advertising or any solicitation with respect to any products or services. Any conduct by you that in Verichem’s sole opinion and discretion restricts or inhibits any other user from using or enjoying the Site, the Content, the Software or any of the Services, are strictly prohibited.
The viewing, printing or downloading of any Content, including reports, graphics, forms or documents via the Services grants you only a limited, nonexclusive license for use solely by you for your own use and not for republication, distribution, exhibition, assignment, sublicense, sale, preparation of derivative works or other use. No part of any Content may be reproduced in any form or incorporated into any information retrieval system, electronic or mechanical, other than for your personal use (but not for resale or redistribution).
Verichem reserves the right in its sole discretion to edit or delete any of the Content, the Software, the Site or the Services without further notice to Users (as defined below). For purposes of this TOS, "Users" means any and all (i) visitors to the Site, whether or not the same has registered an account with Verichem and become a Registered User (as defined below) and (ii) any party that uses any of the Services.
To register an account with Verichem and become a "Registered User" of the Site or any of the Services, you must be (i) at least 18 years of age, (ii) authorized to enter into and form a legally binding contract and (iii) in good standing and not an individual or representing an entity that has been previously barred from receiving any of the Services, whether under the laws and statutes of the United States or other applicable jurisdiction or otherwise. Each Registered User hereby covenants and agrees at all times to: (a) furnish factual, correct, current and complete information with regards to such Registered User as may be requested by the data registration process, and (b) maintain and promptly update such Registered User’s registration and profile information in an effort to maintain accuracy and completeness at all times. If you knowingly provide any information of a false, untrue, inaccurate or incomplete, Verichem will have sufficient grounds and rights to suspend or terminate your registration as a Registered User and refuse any and all current or future use of Verichem’s Services, or any portion thereof.
You shall be responsible for maintaining the secrecy and confidentiality of your password and for all activities that transpire on or within your account. It shall be your responsibility to notify Verichem immediately if you notice any unauthorized access or use of your account or password or any other breach of security. Verichem shall not be held liable for any loss and/or damage arising from any failure to comply with this term and/or condition of this TOS.
As a Registered User, you herein acknowledge, understand and agree that all information, text, software, data, photographs, music, video, messages, tags or any other Content, whether it is publicly or privately posted and/or transmitted, is the expressed sole responsibility of the individual from whom the Content originated. In short, this means that you are solely responsible for any and all Content posted, uploaded, emailed, transmitted or otherwise made available by way of the Services, and as such, we do not guarantee the accuracy, integrity or quality of such Content. It is expressly understood that by use of the Services, you may be exposed to Content including, but not limited to, any errors or omissions in any content posted, and/or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available by Verichem.
Verichem herein reserves the right (i) to pre-screen, refuse and/or delete any Content currently available through the Services, (ii) to remove and/or delete any Content that would violate this TOS or which would otherwise be considered offensive to other Users or Registered Users and (iii) to access, preserve and/or disclose Registered User account information and/or content if it is requested to do so by law or in good faith belief that any such action is deemed reasonably necessary for compliance with any legal process, enforcement of this TOS, responding to any claim that therein contained content is in violation of the rights of any third party, responding to requests for customer service or protecting the rights, property or the personal safety of Verichem, its Users and Registered Users and the general public. Without limiting the generality of the foregoing, Verichem also reserves the right to include the use of security components that may permit digital information or material to be protected, and that such use of information and/or material is subject to usage guidelines and regulations established by Verichem or any other content providers supplying content services to Verichem. You are hereby prohibited from making any attempt to override or circumvent any of the embedded usage rules in the Services.
Unless otherwise agreed to in a writing executed by you and Verichem, you may cancel or terminate your Registered User account, associated email address and/or access to the Services by submitting a cancellation or termination request to customerservice@verichemlabs.com and Verichem may, without any prior written notice, immediately suspend, terminate, discontinue and/or limit your Registered User account, any email associated with your Registered User account and access to any of the Services.
Due to the global nature of the internet, through the use of the Services you hereby agree to comply with all local rules relating to online conduct and that which is considered acceptable Content. Uploading, posting and/or transferring of software, technology and other technical data may be subject to the export and import laws of the United States and possibly other countries. Through the use of the Services, you agree to comply with all applicable export and import laws, statutes and regulations, including, but not limited to, the Export Administration Regulations, as well as the sanctions control program of the United States. Furthermore, you state and pledge that you:
  1. are not on the list of prohibited individuals which may be identified on any government export exclusion report nor a member of any other government which may be part of an export-prohibited country identified in applicable export and import laws and regulations;
  2. agree not to transfer any software, technology or any other technical data through the use of the Services to any export-prohibited country;
  3. agree not to use the Services for any military, nuclear, missile, chemical or biological weaponry end uses that would be a violation of the U.S. export laws; and
  4. agree not to post, transfer nor upload any software, technology or any other technical data which would be in violation of the U.S. or other applicable export and/or import laws.
You shall be responsible for obtaining and maintaining any equipment and ancillary services needed to connect to, access or otherwise use the Services, including without limitation modems, hardware, server, software, operating system, networking, web servers, long distance and local telephone service (collectively, "Equipment"). You shall be responsible for ensuring that such Equipment is compatible with the Services and complies with all configurations and specifications set forth in Verichem’s published policies then in effect. You shall also be responsible for maintaining the security of the Equipment and for all uses of the Equipment with or without your knowledge or consent.
You agree to indemnify, defend and hold Verichem and its subsidiaries, affiliates, agents, employees, officers, partners, equity holders, managers, employees, attorneys and licensors harmless from any liability, loss, claim and expense, including attorney’s fees, related to your violation of this TOS or arising out of your use of the Site, the Software or any of the Services.
Your right to use the Site, the Software and the Services is not transferable. Any password or right given to you to obtain information or documents is not transferable and may only be used by you.

THE INFORMATION FROM OR THROUGH THE SERVICES IS PROVIDED "AS-IS" AND "AS AVAILABLE". ALL WARRANTIES, EXPRESS OR IMPLIED, ARE EXPRESSLY DISCLAIMED (INCLUDING BUT NOT LIMITED TO THE DISCLAIMER OF ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE). THE SERVICES MAY CONTAIN BUGS, ERRORS, PROBLEMS OR OTHER LIMITATIONS. VERICHEM HAS NO LIABILITY WHATSOEVER FOR YOUR USE OF ANY OF THE CONTENT, THE SOFTWARE OR ANY OF THE SERVICES. IN PARTICULAR, BUT NOT AS A LIMITATION, VERICHEM IS NOT AND SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, LITIGATION, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE NEGATION OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN VERICHEM AND YOU. THE SITE, THE CONTENT, THE SOFTWARE AND THE SERVICES WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM VERICHEM THROUGH THE SERVICES SHALL CREATE ANY WARRANTY, REPRESENTATION OR GUARANTEE NOT EXPRESSLY STATED.

Some jurisdictions do not allow for the exclusion of implied warranties, so the above exclusions of implied warranties may not be applicable under certain circumstances. Under these circumstances, all other exclusions remain in force. Your use of the Services is at your risk. If you are dissatisfied with any of the Services, or any provision of this TOS, your sole and exclusive remedy is to discontinue accessing and using the Services.

Verichem is committed to protecting personal information regarding individuals who access or use any of the Services and adhering to all applicable privacy laws and industry guidelines. The Site shall only collect personal information that you knowingly and willingly provide by way of completed registration forms. You should check this page from time to time to ensure that you are happy with any changes. Continued use of the Site, the Software or the Services will be deemed acceptance of this TOS in effect at the time of use.
  1. Verichem will not sell, share or disclose your personal data outside the scope of our business. No promotional emails will ever be sent to you unless you have opted for it. You can opt out of any promotional email list at any time by updating your account information.
  2. In the event that you elect to correspond with Verichem via e-mail, the postal service or other form of communication, Verichem may retain such correspondence and the information contained therein and use such information to respond to inquiries and/or provide notifications.
  3. Verichem may collect the following information: (i) name, (ii) contact information, including email address, (iii) IP address, browser type, operating system and other computer data and/or (iv) content access data, including date and time of access.
  4. Verichem may use cookies on the Site to identify which pages are being used and to help analyze data about web page traffic and improve the Site and tailor it to customers’ needs. Cookies allow web applications to respond to you as an individual by gathering and remembering information about your preferences. Overall, cookies help Verichem provide you with a better Site, enabling Verichem to monitor which pages you find useful and which you do not. A cookie in no way gives Verichem access to your computer or any information about you, other than the data you choose to share with Verichem. You can choose to accept or decline cookies. Most web browsers automatically accept cookies, but you can usually modify your browser setting to decline cookies if you prefer. Note, however, this may prevent you from taking full advantage of the Site.
  5. Verichem does not sell or share any personally identifiable information with third parties with the exception of United States government agencies in cases where identity theft or fraud is suspected or other instances when Verichem is required by law to do so. You may choose to restrict the collection or use of your personal information in the following ways:
    1. if you have previously agreed to us using your personal information for direct marketing purposes, you may change your mind at any time by emailing customerservice@verichemlabs.com
  6. You may request details of personal information which Verichem holds about you under the Data Protection Act 1998 for a small fee. If you would like a copy of the information held on you or if you believe that any information Verichem is holding on you is incorrect or incomplete, please write to Verichem Laboratories, 90 Narragansett Avenue, Providence, RI 02907 or email customerservice@verichemlabs.com.
  7. As Verichem develops its business, it might sell or buy assets. In such transactions, customer information is generally considered a business asset. In the event that Verichem is acquired, information obtained from you may be included as one of the transferred assets.
  8. Verichem does not knowingly collect personal identifiable information from children under the age of 13 without verifiable parental consent. If it is determined that such information has been inadvertently collected on anyone under the age of 13, we shall immediately take the necessary steps to ensure that such information is deleted from our system's database. Anyone under the age of 13 must seek and obtain parent or guardian permission to use the Services.
  9. This TOS does not apply to any personal data collected by Verichem other than that data collected through the Site or the Services. This TOS shall not apply to any unsolicited information you provide to Verichem through the Site or the Services or through any other means.
The Services may contain links to other websites. Verichem is not responsible for the content, accuracy or opinions express in such websites, and such websites are not investigated, monitored or checked for accuracy or completeness by Verichem. Inclusion of any linked website on the Site or through the Services does not imply approval or endorsement of the linked website by Verichem. If you decide to leave the Site and access these third-party sites, you do so at your own risk. Verichem shall not be responsible or liable, directly or indirectly, for any damage or loss which may be a result of, caused or allegedly to be caused by or in connection with such access.
All suggestions, ideas, notes, concepts and other information you may from time to time send to Verichem (collectively, "Submissions") shall be deemed and shall remain Verichem’s sole property and shall not be subject to any obligation of confidence on Verichem’s part. Without limiting the foregoing, Verichem shall be deemed to own all known and hereafter existing rights of every kind and nature regarding Submissions and shall be entitled to unrestricted use of the Submissions for any purpose, without compensation or reimbursement to the provider thereof. Verichem shall not be liable or under any obligation to ensure or maintain confidentiality, expressed or implied, related to any Submissions.
At any time, should Verichem fail to exercise or enforce any right or provision of this TOS, such failure shall not constitute a waiver of such right or provision. If any provision of this TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect.
You acknowledge, understand and agree that regardless of any statute or law to the contrary, any claim or action arising out of or related to the use of the Services or this TOS must be filed within three years after said claim or cause of action arose or shall be forever barred.
YOU AGREE THAT ALL ACTIONS OR PROCEEDINGS ARISING DIRECTLY OR INDIRECTLY OUT OF THIS AGREEMENT, OR YOUR USE OF THE SITE, THE SOFTWARE OR THE SERVICES, SHALL BE LITIGATED IN THE STATE OR FEDERAL COURTS LOCATED IN THE STATE OF RHODE ISLAND. YOU ARE EXPRESSLY SUBMITTING AND CONSENTING IN ADVANCE TO SUCH JURISDICTION IN ANY ACTION OR PROCEEDING IN ANY OF SUCH COURTS, AND ARE WAIVING ANY CLAIM THAT SAME IS AN INCONVENIENT FORUM OR AN IMPROPER FORUM. The laws of the State of Rhode Island will govern the terms and conditions contained in this TOS, without giving effect to any principles of conflicts of laws.
